All rights reserved. eTAB Works-Estimator(TM) (the "Software"), comprising the desktop edition ("eTAB Works-Estimator(TM)") and the web edition ("eTAB Works-Estimator-web(TM)"), their databases, master schedules, reports, documentation, help files and all related materials, is PROPRIETARY and CONFIDENTIAL. It is the intellectual property of the copyright holder named above and is protected under the Copyright Act, 1957 and other applicable laws of the Republic of India, and by international copyright treaties. -------------------------------------------------------------------------------- 1. GRANT OF LICENCE -------------------------------------------------------------------------------- Subject to these terms, the copyright holder grants the authorised organisation or user a limited, non-exclusive, non-transferable, revocable licence to install and use the Software solely for the licensee's own internal engineering, estimation, tendering and billing work. The desktop application is licensed on a per-machine (machine-locked / activation) basis; the web application is licensed for use by the authorised organisation(s) and their permitted users only. No title to or ownership of the Software is transferred. RESTRICTIONS -------------------------------------------------------------------------------- The licensee shall NOT, and shall not permit any third party to: (a) copy, reproduce, publish, distribute, rent, lease, sublicense, sell or otherwise make the Software available to any third party; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, algorithms, database schema or ideas of the Software, except to the limited extent expressly permitted by applicable law notwithstanding this restriction; (c) modify, adapt, translate or create derivative works based on the Software, or use the Software or its documentation to design, develop or train any competing or similar product or service, whether by human or automated means (including machine-learning / AI systems); (d) remove, obscure or alter any copyright, trademark, proprietary or other notice contained in the Software or its documentation; (e) circumvent, disable or interfere with any licensing, activation, access- control or copy-protection mechanism of the Software. -------------------------------------------------------------------------------- 3. CONFIDENTIALITY -------------------------------------------------------------------------------- The Software, its documentation and its internal design embody valuable trade secrets of the copyright holder. The licensee shall keep them confidential and shall not disclose them to any third party. -------------------------------------------------------------------------------- 4. TERM AND TERMINATION -------------------------------------------------------------------------------- This licence is effective until terminated. It terminates automatically, without notice, upon any breach of these terms, and (for time-limited grants) upon expiry of the licensed period or subscription. Upon termination the licensee shall cease all use and destroy all copies of the Software in its possession. -------------------------------------------------------------------------------- 5. DISCLAIMER OF WARRANTY -------------------------------------------------------------------------------- THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. LIMITATION OF LIABILITY -------------------------------------------------------------------------------- To the maximum extent permitted by law, the copyright holder shall not be liable for any indirect, incidental, special or consequential damages, or for any loss of data, profit or business, arising out of the use of or inability to use the Software. -------------------------------------------------------------------------------- 7. GOVERNING LAW AND JURISDICTION -------------------------------------------------------------------------------- This licence shall be governed by and construed in accordance with the laws of the Republic of India.
